These Terms of Service ("Terms") govern your access to and use of the website (www.omniworksindia.com) and all services, products, and projects provided by Omniworks Private Limited ("Omniworks," "we," "us," or "our"). Please read these Terms carefully before engaging our services. By using our website or entering into a service engagement, you agree to be bound by these Terms.
Scope: These Terms apply uniformly to all products, services, and projects delivered by Omniworks Private Limited β including software development, web and mobile applications, SaaS products, IT consulting, digital marketing, and any other deliverable provided to clients, customers, or end users under the Omniworks name.
1. Acceptance of Terms
By accessing our website, requesting a quote, or entering into any service agreement with Omniworks Private Limited, you confirm that you have read, understood, and agree to these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must not use our website or engage our services.
2. Services
Omniworks Private Limited provides technology services including, but not limited to:
- Custom software development (web, mobile, desktop)
- SaaS product development and deployment
- IT consulting and technology strategy
- Digital marketing and SEO services
- UI/UX design and web design
- Ongoing maintenance, support, and hosting
The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate Service Agreement, Statement of Work (SOW), or written proposal agreed upon by both parties. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail.
3. Technology Infrastructure
Omniworks Private Limited uses industry-leading cloud and database infrastructure to build, host, and operate the products and services we deliver. Our infrastructure providers include:
- Amazon Web Services (AWS): Cloud computing, storage, and database services used for application hosting, data management, and scalable infrastructure across client projects.
- Oracle: Enterprise database server technology used for structured data storage, management, and processing in applicable client systems and internal platforms.
These providers operate under their own terms of service and security standards. By engaging our services, you acknowledge that relevant project data may reside on or be processed through these platforms as part of delivering the agreed service.
4. Payment Terms
Payment terms for each engagement are specified in the applicable Service Agreement or invoice. Unless otherwise agreed in writing:
- Invoices are due within the period stated on the invoice from the date of issue.
- We reserve the right to pause or suspend work on an engagement if payment is not received by the due date.
- Any applicable taxes (including GST) are charged in addition to the quoted fees unless explicitly stated otherwise.
- Disputed invoices must be raised in writing within 7 days of receipt; undisputed portions remain due on the original due date.
5. Refund Policy
Summary: Refund requests must be submitted in writing within 15 days of the triggering event. Approved refunds are processed and disbursed within 30 days of approval.
5.1 Notification Requirement
To be eligible for a refund, the client must notify Omniworks Private Limited in writing (by email to info@omniworksindia.com) within 15 calendar days of the event giving rise to the refund claim. Requests submitted after this period will not be considered.
5.2 Refund Processing
Upon receipt of a valid refund notification, Omniworks will review the request and communicate its decision. Approved refunds will be processed and returned to the original payment method within 30 calendar days of the approval date.
5.3 Eligibility
Refunds may be considered in the following circumstances:
- A service was paid for but not commenced by Omniworks.
- Omniworks is unable to deliver the agreed service due to circumstances on our side.
- A mutual written agreement to cancel the engagement prior to completion.
5.4 Non-Refundable Items
The following are not eligible for refund:
- Work already completed and delivered at the time of the refund request.
- Third-party costs (software licences, hosting fees, API subscriptions, etc.) incurred on the client's behalf.
- Fees for services where the client has caused delays, provided incomplete information, or changed the agreed scope.
- Retainer or maintenance fees for periods already elapsed.
5.5 Partial Refunds
Where a project is partially completed at the time of cancellation, a partial refund may be offered at Omniworks' discretion, calculated based on the proportion of work not yet delivered.
6. Intellectual Property
6.1 Website Content
All content on this website β including text, graphics, logos, icons, images, and software β is the property of Omniworks Private Limited and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our express written permission.
6.2 Client Deliverables
Unless otherwise specified in a signed Service Agreement, upon full payment of all fees due, intellectual property rights in the custom deliverables created specifically for a client will transfer to that client. Omniworks retains ownership of any pre-existing tools, frameworks, libraries, methodologies, or generic components used in the delivery, and grants the client a non-exclusive licence to use them as part of the deliverable.
7. Confidentiality
Both parties agree to hold in strict confidence all proprietary, technical, business, and financial information disclosed by the other party during the course of an engagement ("Confidential Information"). Neither party shall disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law.
This obligation of confidentiality survives the termination or expiry of any Service Agreement and continues for a period of three (3) years thereafter, unless a longer period is specified in the applicable agreement.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Omniworks Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages β including loss of profits, loss of data, or business interruption β arising out of or related to your use of our website or services, even if we have been advised of the possibility of such damages.
In all cases, our total aggregate liability to you for any claim arising out of or related to a specific service engagement shall not exceed the total fees paid by you to Omniworks for that engagement in the three (3) months preceding the event giving rise to the claim.
9. Disclaimer of Warranties
Our website is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
For professional services, we warrant that work will be performed with reasonable skill and care in accordance with the agreed specification. This warranty does not apply to issues caused by client-side modifications, third-party integrations outside our control, or use of the deliverable in a manner inconsistent with agreed specifications.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms or a service engagement shall first be attempted to be resolved through good-faith negotiation between the parties.
If a dispute cannot be resolved by negotiation within 30 days, it shall be subject to the exclusive jurisdiction of the competent courts in Hyderabad, Telangana, India.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. We encourage you to review these Terms periodically. Continued use of our website or services after any changes are posted constitutes your acceptance of the revised Terms.
Changes will not apply retroactively to ongoing engagements governed by a signed Service Agreement, unless both parties agree in writing.
